Terms and Conditions for Pixel and Byte

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Your Content

By uploading, submitting, or otherwise providing any materials to us ("Client Content"), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for the purposes of providing the Services to you.

You represent and warrant that:

  • You own or control all rights in and to the Client Content and have the right to grant the license granted above.
  • The Client Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

6. AI Services Specific Terms

6.1 Data Processing

When using our AI services, you acknowledge that:

  • We may process data you provide to deliver the Services.
  • You have obtained all necessary rights and permissions to share any data with us.
  • You will not submit data containing personally identifiable information unless necessary for the Services and with appropriate safeguards in place.

6.2 AI Output

The output generated by our AI Services is provided on an "as is" basis. While we strive for accuracy and quality, we do not guarantee that:

  • AI-generated content will be error-free.
  • AI-generated content will be appropriate for all contexts.
  • AI-generated content will meet your specific requirements.

You are responsible for reviewing and validating any AI-generated content before implementation or use.

6.3 Training Data

Unless explicitly agreed otherwise in writing, we may use anonymized and aggregated data derived from your use of the Services to improve our AI models and services. We will not use your confidential data to train generalized AI models without your explicit consent.

7. Payments and Fees

7.1 Payment Terms

To the maximum extent permitted by applicable law, Pixel and Byte shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, service interruption, computer damage, or system failure, resulting from your use of the Services.

In no event will our aggregate liability exceed the greater of:

  • The amount you paid for the Services in the 12 months preceding the event giving rise to the liability, or
  • $1,000.00 USD.

9. Indemnification

You agree to defend, indemnify, and hold harmless Pixel and Byte and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services or your breach of these Terms.

10. Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
